Cureledger Marketplace Terms of Service

These Terms of Service (these "Terms") are an agreement between you and Cureledger, Inc., a Delaware corporation ("Cureledger," "we," or "us"), governing your use of the Cureledger data marketplace at https://cureledger.com and related services (the "Marketplace").
1. Acceptance
By creating an account or using the Marketplace, you accept these Terms. If you use the Marketplace on behalf of an organization, you represent that you are authorized to bind it, and "you" means that organization. If you access or transact through an automated agent, you are responsible for the agent's activity, the agent's actions bind you, and "you" includes the person on whose behalf the agent acts.
2. The Marketplace
The Marketplace lists de-identified datasets available for license. Browsing, purchasing, and use of any dataset are governed by the Data License Agreement, which is incorporated into these Terms and controls as to licensed data. Where we process personal data on your behalf, the Data Processing Agreement applies.
3. Accounts
You are responsible for the accuracy of your account information, the security of your credentials, and all activity under your account, including activity of your automated agents.
4. Acceptable Use
You will not: (a) attempt to re-identify any individual from Marketplace data; (b) scrape, copy, or access listings or data except through the interfaces we provide or expressly permit; (c) interfere with or circumvent the security or operation of the Marketplace; (d) resell or redistribute Marketplace data except as the Data License Agreement permits; or (e) use the Marketplace in violation of law.
5. Fees and Payment
Fees for datasets are as listed at the time of purchase. Except as required by law or expressly stated in the Data License Agreement, payments are non-refundable. You are responsible for applicable taxes other than taxes on our income.
6. Intellectual Property; Feedback
The Marketplace, including its software, design, and content other than licensed datasets, is the property of Cureledger. These Terms grant you no rights in it beyond use of the Marketplace. If you provide feedback, we may use it without restriction or obligation.
7. Changes to the Marketplace and These Terms
We may modify or discontinue the Marketplace or any feature at any time. We may amend these Terms by posting the amended Terms with notice to you; your continued use after the effective date constitutes acceptance. Amendments do not apply retroactively.
8. Termination
You may close your account at any time. We may suspend or terminate your account for breach of these Terms. Termination does not affect licenses validly granted under the Data License Agreement before termination, except as that agreement provides. Sections 6 and 9 through 12 survive.
9. Disclaimer of Warranties
THE MARKETPLACE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE MARKETPLACE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Governing Law; Venue
These Terms are governed by the laws of the State of North Carolina without regard to conflict-of-laws principles. The state and federal courts sitting in Wake County, North Carolina have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Marketplace, and each party consents to personal jurisdiction and venue there.
12. General
These Terms are the entire agreement between you and us regarding the Marketplace. If any provision is unenforceable, the remainder stays in effect. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization or transfer of the Marketplace. Our failure to enforce a provision is not a waiver. You consent to receive notices and disclosures from us electronically.
